Terms
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Say What mobile application (the “App”). The App is provided by Smart Code Solutions LLC (“Smart Code Solutions,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
2. Eligibility
You must be legally able to enter into these Terms. If you use the App on behalf of an organization, you represent you have authority to bind that organization.
3. Description of the App
Say What helps you generate message reply drafts from content you provide (such as screenshots of conversations or pasted text). The App may provide multiple drafts and tone options. On-device processing: Say What is designed so reply generation occurs on your device.
4. iCloud Storage and Sync
Say What may store your app data (including saved reply drafts and related metadata) in your personal iCloud account to enable backup and sync across devices signed into the same Apple ID (if iCloud is enabled for the App). iCloud is provided and controlled by Apple under Apple’s terms and policies. We do not operate iCloud and do not control Apple’s systems. We do not receive or store your messages or reply drafts on our own servers in the normal operation of the App. If you disable iCloud for Say What, data may remain only on-device (subject to your device settings and backups).
5. License to Use the App
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms and applicable law. You may not copy, modify, distribute, sell, lease, sublicense, or commercially exploit the App; reverse engineer, decompile, or attempt to extract source code (except where permitted by law); circumvent security measures; or interfere with or disrupt the App.
6. Your Content
You retain rights to content you input into the App (“Your Content”), including screenshots and pasted text. You are responsible for ensuring you have the right to use and process Your Content (including any confidential or third-party messages). You agree not to use the App to violate law, infringe intellectual property, or invade privacy/confidentiality rights.
7. AI Output Disclaimer
The App may generate reply drafts and other outputs based on Your Content (“Outputs”). Outputs are generated automatically and may be inaccurate, inappropriate, incomplete, or not suitable for your situation. You are responsible for reviewing and deciding what to send. Outputs are suggestions, not advice, and you will use your judgment before sending messages. We make no guarantees about the accuracy or suitability of Outputs.
8. Privacy
Your use of the App is subject to our Privacy Policy, which is incorporated by reference.
9. Purchases and Refunds
The App may be offered as a one-time purchase through the Apple App Store. Payments and refunds are handled by Apple under Apple’s terms and policies.
10. Third-Party Services
The App may use third-party services or SDKs (for example, iCloud, analytics, or crash reporting). Your use of those services may be governed by their terms. We are not responsible for third-party services.
11. Acceptable Use
You agree to use the App only for lawful purposes and not to process content you do not have rights to use, violate privacy/confidentiality obligations, attempt unauthorized access, or use the App to harass, threaten, or harm others.
12. Intellectual Property
The App (including its code, design, UI, trademarks, and logos) is owned by Smart Code Solutions LLC and protected by intellectual property laws. No rights are granted except the limited license above.
13. Warranty Disclaimer
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the App will be uninterrupted, secure, error-free, or compatible with all devices/OS versions, or that Outputs will be suitable for any purpose.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART CODE SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE APP OR OUTPUTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Smart Code Solutions LLC from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the App, your violation of these Terms, your Content, or your reliance on Outputs.
16. Termination
You may stop using the App at any time by deleting it. We may suspend or terminate access if you violate these Terms or if we discontinue the App, as permitted by law. Upon termination, your license ends. Deleting the App removes on-device data. iCloud-stored data (if enabled) can be managed and deleted through iOS settings.
17. Changes to These Terms
We may update these Terms from time to time by updating the Effective Date and posting the new version in the App or on our website. Continued use after changes means you accept the updated Terms.
18. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles, except where your local law requires otherwise. Disputes will be brought in state or federal courts located in Florida, unless prohibited by law.
19. Severability
If any provision is unenforceable, the remaining provisions remain in effect.
20. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Smart Code Solutions LLC regarding the App.
